Smart Tips

1. Please get the following information ready before start:
   • Company information (e.g. registered name, registered office address, registration document number of business registration certificate)
   • Relevant parties (individual) information (e.g. English name, HKID / passport number, telephone number, email address)
   • Clear softcopy of basic required documents* (if applicable)
     * Examples of basic required documents for online account application includes:
     • Valid Business Registration Certificate / Certificate of Registration
     • Certificate of Incorporation
     • Identification Document of each of the relevant parties
     • Quorum shown in Memorandum and Articles of Association (M&A) / Articles of Association or Constitution / Rules and Regulations / By-laws
     • Company / Organization / Society Chop sample
2. Online payment for company search fee and account opening fee only supports Visa and MasterCard only. Please pay the fees according to instructions when completing the online application form. Please note that the Bank will charge the applicant an account opening fee, company search fee and additional fee (if applicable). The account opening fee payable for companies registered in Hong Kong and companies incorporated overseas is HKD1,200 and HKD10,000 respectively. The company search fee payable is HKD200. If the applicant is identified as Special Company after company search, an additional fee of HKD10,000 will be payable during the appointment of account opening at 328 Business Banking Centre. Any fee paid will not be refunded regardless of the result of application.
   Special Company refers to but not limited to the following categories:
   • Company with 3 or more layers in its ownership / controlling structures, or
   • Company engages in money / currency exchange, money transfer or remittance agent services, or
   • Trust Account
   • Business nature related to virtual commodities e.g. entities operating virtual commodities exchange, brokerage, sale or purchase of virtual commodities

Note:

• The online application service is only available to companies without holding any 328 Business Account.
• Face-to-face verification and signing of account opening documents at our 328 Business Banking Centre are required after after you have paid the company search fee and account opening fee and submitted your application form online. Our SME specialist will contact you for the arrangement. Please bring along the original of required documents for account opening to the meeting to be held at our 328 Business Banking Centre. Click here for document list. All documents submitted are not returnable and the paid fee will not be refunded regardless of the result of application.
• For documents to be uploaded, file format has to be PDF, JPEG, TIFF, GIF or PNG. You can upload a maximum of 10 files per submission. Size of each file must not exceed 5MB. Total size of all files must not exceed 15MB. For identification document, please enlarge 200% and copy in light color.
• Additional documents / information for account opening may be required by the Bank if necessary.
• Relevant Parties (individual) refer to Proprietor / Partners / Principal Shareholders / Beneficial Owners^# / Directors / Persons Purporting to Act on behalf of the Customer^.
  
  ^#Beneficial owner in relation to a legal person:
  • In relation to a corporation:
    (a) an individual who
    i. owns or controls, directly or indirectly, including through a trust or bearer share holding, more than 25% of the issued share capital of the corporation;
    ii. is, directly or indirectly, entitled to exercise or control the exercise of more than 25% of the voting rights at general meetings of the corporation; or
    iii. exercises ultimate control over the management of the corporation; or
    (b) if the corporation is acting on behalf of another person, means the other person.
  • In relation to a partnership:
    (a) an individual who
    i. is entitled to or controls, directly or indirectly, more than a 25% share of the capital or profits of the partnership;
    ii. is, directly or indirectly, entitled to exercise or control the exercise of more than 25% of the voting rights in the partnership; or
    iii. exercises ultimate control over the management of the partnership; or
    (b) if the partnership is acting on behalf of another person, means the other person.
  • In relation to an unincorporated body other than a partnership:
    (a) means an individual who ultimately owns or controls the unincorporated body; or
    (b) if the unincorporated body is acting on behalf of another person, means the other person.
  • In relation to a trust:
    (a) an individual who is entitled to a vested interest in more than 25% of the capital of the trust property, whether the interest is in possession or in remainder or reversion and whether it is defeasible or not;
    (b) the settlor of the trust;
    (c) a protector or enforcer of the trust; or
    (d) an individual who has ultimate control over the trust.
